ARTS-CL - Articles of Incorporation of a Close Corporation

To form a close corporation in California, you must file Articles of Incorporation with the California Secretary of State. A “close corporation” means a corporation, including a close social purpose corporation, whose Articles of Incorporation include a provision that all of the corporation’s issued shares of all classes will be held of record by not more than a specified number of persons, not exceeding 35. You can use form ARTS-CL to file Articles of Incorporation for a Close Corporation.
